You acknowledge and agree that you are solely responsible for your User Content and any related content uploads, posts, emails, and/or other communications disseminated in connection with your use of the Get RainDrop Mobile Application and agree that you will not hold Get RainDrop, its subsidiaries and affiliates, responsible or liable and shall release Get RainDrop, its subsidiaries and affiliates, from any and all liability related to any User Content submitted by you or related to your use of the Get RainDrop Mobile Application.

License:

You hereby grant to Get RainDrop, its subsidiaries, affiliates and agents, a perpetual (as long as Get RainDrop or any other third party has not deleted the User Content), non-exclusive, worldwide, irrevocable, sub-licensable, royalty-free license to use, redact, reproduce, publish, adapt, edit, modify, create derivative works of, perform, display, distribute or otherwise exploit your User Content and/or all other intellectual property contained therein, alone or with other materials for any commercial or non-commercial purposes in Get RainDrop’s sole discretion without any compensation paid to you and without further approval from you.

Proprietary Rights:

The Get RainDrop Mobile Application contains information and materials protected by copyright, trademark, and/or other proprietary laws. Such information and materials may include, without limitation, trademarks, service marks, trade names and logos of Get RainDrop, its affiliates and third parties. Nothing on the Get RainDrop Mobile Application grants or should be construed as transferring, assigning, or granting to you any rights, including but not limited to, a license to use, any such information and materials. Additionally, you understand and agree that you do not own or have any rights in the Get RainDrop Mobile Application, or any information or material made available through the Get RainDrop Mobile Application (other than your User Content). Except as otherwise stated, you agree not to copy, rent, lease, sell, make available, distribute, modify, or make derivative works of the Get RainDrop Mobile Application or any information that we post to the Get RainDrop Mobile Application (other than your User Content) without our prior express written consent.

The Get RainDrop Mobile Application may provide you with links to websites, services, products, content, or other material of third parties. You acknowledge and agree that we do not endorse and are not responsible or liable for any material available through such links, and that you access such material at your own risk. We encourage you to review the privacy and terms of use policies made available to you by such third parties. YOU AGREE THAT YOUR USE OF THIRD PARTY WEBSITES AND RESOURCES IS AT YOUR OWN RISK AND IS SUBJECT TO THE TERMS AND CONDITIONS OF USE APPLICABLE TO SUCH WEBSITES AND RESOURCES.

Privacy:

The privacy of your personal information is very important to us.  You agree to our collection, use, and sharing of your information and User Content as set forth in the Privacy Policy.

The Get RainDrop Mobile Application is intended for persons older than 18 years. If you live in a state where the explicit consent of a parent or legal guardian is required if you are under the age of 21, then you may be required to secure such consent prior to submitting a Submission or other content to the Website.

Any User Content that you provide will be considered non-confidential and non-proprietary.

No Warranties:

The information, materials, and services on the Get RainDrop Mobile Application are provided to you “as is,” without any express or implied representations or warranties of any kind, including any warranties as to merchantability or fitness for a particular purpose or non-infringement of intellectual property. WHILE WE USE REASONABLE EFFORTS TO INCLUDE UP-TO-DATE INFORMATION ON THE GET RAINDROP MOBILE APPLICATION, WE ASSUME NO LIABILITY FOR ANY ERRORS OR OMISSIONS IN SUCH INFORMATION. WE DO NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE GET RAINDROP MOBILE APPLICATION OR ANY CONTENT CONTAINED THEREIN WILL BE UNINTERRUPTED OR ERROR FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE GET RAINDROP MOBILE APPLICATION OR THE SERVER THAT MAKES IT AVAILABLE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. IN NO EVENT WILL GET RAINDROP BE LIABLE UNDER ANY THEORY OF TORT, CONTRACT, STRICT LIABILITY, OR OTHER LEGAL OR EQUITABLE THEORY FOR ANY LOST DATA, EXEMPLARY, PUNITIVE, PERSONAL INJURY/WRONGFUL DEATH, SPECIAL, INCIDENTAL, INDIRECT OR OTHER CONSEQUENTIAL DAMAGES, REGARDLESS OF WHETHER OR NOT EITHER PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL BE LIMITED TO $100 (UNITED STATES CURRENCY).

Indemnity:

You agree to defend and indemnify Get RainDrop, its subsidiaries, and affiliates, and each of our respective officers, agents, directors, shareholders, partners, licensors, service providers, and employees, from any loss, liability, claim, or demand, including reasonable attorneys’ fees, issued by any third party due to or arising out of your use of the Get RainDrop Mobile Application arising from a breach or alleged breach of these Terms of Use by you (including, but not limited to, any breach of your representations and warranties set forth herein).

Digital Millennium Copyright Act:

We are committed to complying with copyright and related laws, and we require all users of the Get RainDrop Mobile Application to comply with these laws. Accordingly, you may not store any material or content on, post, modify, distribute, or reproduce in any way copyrighted or other proprietary materials without obtaining the prior written consent of the copyright owner of such materials. Owners of copyrighted works who believe that their rights under copyright law have been infringed may take advantage of certain provisions of the Digital Millennium Copyright Act of 1998 (the “DMCA”) to report alleged infringements. It is our policy to take down infringing material upon receipt of proper notification to us by the copyright owner or the copyright owner’s legal agent. Upon receiving such notice, we will respond expeditiously to remove, or disable access to, the material claimed to be infringing and will follow the DMCA procedures to resolve the claim between the notifying party and the alleged infringer.

If you believe that material has been posted on the Get RainDrop Mobile Application in a way that constitutes copyright infringement, or that a link to an online location containing infringing material has been posted on the Get RainDrop Mobile Application, then please provide the following information to Get RainDrop:

It is our policy to terminate use privileges of any user who repeatedly infringes the copyright rights of others.

Miscellaneous:

Our failure to exercise or enforce any right or provision of these Terms of Use shall not operate as a waiver of such right or provision. If any part of these Terms of Use is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that closely matches the intent of the original provision and the remainder of these Terms of Use shall continue in effect. These Terms of Use, together with any additional terms and conditions or policies referred to and incorporated herein, constitute the entire understanding between you and us. You agree that a printed version of these Terms of Use and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based on or related to these Terms of Use to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

Governing Law and Jurisdiction:

This Website and the Get RainDrop Mobile Application, and these Terms of Use are governed by and construed in accordance with the laws of the State of Georgia, U.S.A., without reference to its choice of law rules and/or conflicts of law provisions, and regardless of your location. This Website and the Get RainDrop Mobile Application are controlled and operated by Get RainDrop from its headquarters in Atlanta, GA.  By accessing, viewing, or using the material on this Website and/or the Get RainDrop Mobile Application, you consent to the jurisdiction of the federal and state courts in Fulton County, Georgia, and agree to accept service of process by mail and hereby waive any and all jurisdictional and venue defenses otherwise available. 2. If you participate in our Beta Testing Program, you may be required to provide us with additional personal information or account login information so that we can test features and improve functionalities. We take reasonable and appropriate measures to store your information in a secure manner.
3. If you activate any digital coupons offered through our Services, you may be required to provide us with a retailer loyalty account number. We collect and store this information to operate the coupons feature.
4. If you have granted us permission, we may collect location information from your mobile device.

Personal Information Collected Automatically

We additionally obtain certain personal information automatically when you visit our Mobile application and Website or otherwise use or Services, such as your IP address, MAC address, Device ID, and mobile application use information such as content views, interactions, and the amount of time spent in the application.

Get RainDrop may contact you from time to time with information concerning new products or services. You can manage your receipt of marketing communications by clicking on the “Unsubscribe” (or similar) link located on the Get RainDrop application of an applicable Get RainDrop marketing email and following the instructions found on any page to which the link may take you. Note, however, that you cannot opt-out of transactional or administrative emails.

Account Security

We use reasonable physical, electronic, and procedural safeguards that comply with federal standards to protect and limit access to personal information. This includes device safeguards and secured files and buildings.

Data Retention

Get RainDrop retains your personal information for as long as it is deemed necessary and relevant by Get RainDrop for Get RainDrop’s operations, unless a longer or different retention period is required or permitted by law.  You can delete your account anytime from the mobile application. 

International Users

Our Services are hosted in the United States and subject to laws of the United States. If you are located in a country outside the United States and voluntarily submit personal information to us, you thereby consent to the general use of such information as provided in this Privacy Policy and to the transfer of that information to, and/or storage of that information in, the United States. U.S. law may not provide the degree of protection for personal information that is available in your country or local jurisdiction.
